CCP Approves BASF Pakistan Acquisition by UAE-Based Kemyion After Competition Review

ISLAMABAD, June 23, 2026: The Competition Commission of Pakistan (CCP) approved the acquisition of BASF Pakistan (Private) Limited by UAE-based Kemyion Chemical Solutions Trading FZCO. It cleared the deal after completing a Phase-I review under the Competition Act, 2010.

Kemyion submitted the pre-merger application under Section 11 of the Act. It sought approval to acquire 100% shareholding of BASF Pakistan from BASF SE, Germany, under a Share Purchase Agreement dated November 18, 2025. After review, CCP approved the transaction under Section 31(1)(d)(i).

Kemyion operates as a UAE-based chemical trading company. It deals in industrial chemicals, petrochemicals, construction chemicals, and related raw materials. Meanwhile, BASF Pakistan focuses on indenting and merchandising chemicals such as solvents, catalysts, colorants, and process chemicals. The seller, BASF SE, remains a German multinational and parent company of the BASF Group.

During its assessment, CCP examined the relevant product and geographic markets. It identified the market as chemical trade in Pakistan, including specialty and industrial segments.

Moreover, the Commission noted that the acquiring company has no existing operations, revenue, or assets in Pakistan. As a result, it found that the deal would not significantly change market concentration. It also confirmed that the combined market share would remain negligible after completion.

In addition, CCP concluded that the acquisition would not create barriers to entry or strengthen market dominance. Therefore, it ruled that the transaction would not substantially lessen competition in the market.
